PURPOSE & ENGAGEMENT OBJECTIVE This Statement of Work ("SOW") is entered into pursuant to the Master Services Agreement between Provider and Client. Client engages Provider to deploy a high-velocity, dedicated nearshore engineering squad to accelerate software delivery, maintain production infrastructure, and eliminate hiring bottlenecks. --- ### 2. SQUAD SPECIFICATION & ALLOCATION - **Assigned Capacity**: 2 Dedicated Senior Engineer(s) - **Primary Role Designation**: Senior Python & Cloud Infrastructure Engineer - **Required Core Competencies**: `Python, Kubernetes, AWS, PostgreSQL` - **Standard Allocation**: 160 billable hours per engineer per calendar month (40 hours/week). - **Timezone Alignment SLA**: 100% synchronous overlap during core working hours (9:00 AM – 5:00 PM US Eastern / Pacific). --- ### 3. COMMERCIAL RATE CARD & INVOICING TERMS - **Engagement Model**: Dedicated Monthly Retainer - **Client Billing Rate**: **$69.50 USD** per hour per engineer - **Estimated Monthly Investment**: **$22,240.00 USD** / month (2 dev(s) @ 160 hrs) - **Estimated Annual Total**: **$266,880.00 USD** / year - **Projected Client Savings vs US Onshore**: **$187,200.00 USD / year (41.2% Net Reduction)** - **Invoicing Cadence**: Monthly in advance (Net 15) - **Payment Terms**: Net 15 via ACH, Domestic Wire, or Stripe Corporate Card in US Dollars ($USD). --- ### 4. 14-DAY RISK-FREE PERFORMANCE WARRANTY Provider guarantees engineering excellence and cultural velocity: > **Zero-Risk Trial Clause**: If at any point within the initial **14 calendar days** of deployment, Client determines in its sole discretion that any deployed engineer does not meet performance, architectural, or communication standards, Client may terminate the placement immediately upon written notice. **In such event, Client shall owe $0.00 for hours worked during the trial window**, and Provider shall deploy an approved replacement candidate within five (5) business days. --- ### 5. 100% INTELLECTUAL PROPERTY ASSIGNMENT (WORK-FOR-HIRE) Provider expressly acknowledges and agrees that all software, source code, pull requests, technical architectures, documentation, inventions, and patentable work product created by deployed talent for Client constitute **Work Made for Hire**. Client shall own all worldwide right, title, and interest (including copyright and trade secrets) immediately and unconditionally upon creation. Provider executes all necessary IP vesting documentation on behalf of deployed personnel. --- ### 6. INFORMATION SECURITY & CONFIDENTIALITY - **Mutual NDA**: Strict confidentiality covering proprietary client repositories, secrets, and customer data. - **Background Checks**: Pre-screened identity verification, criminal background check, and reference verification conducted prior to deployment. - **Hardware & Tooling**: Engineers operate on clean development machines equipped with encrypted SSDs, multi-factor authentication (MFA), and secure VPN tunneling where required. --- ### 7. DURATION, TERMINATION & OFFBOARDING This SOW commences on the Effective Date and continues on a flexible month-to-month basis. Following the initial trial warranty period, either party may terminate this agreement or reduce squad capacity without cause by providing **thirty (30) calendar days prior written notice**.
